These Terms and Conditions of Use (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and LaCharme LLC, a Florida limited liability company doing business as Health & IT (“H&IT,” “Company,” “we,” “us,” or “our”), governing your access to and use of:

BY ACCESSING OR USING THE WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS.
1. NATURE OF THE WEBSITE AND SERVICES
The Website is provided solely for informational, commercial, and engagement purposes in connection with the Company’s services, including information technology infrastructure, cybersecurity, system administration, healthcare IT support, and related services.
The Website does not constitute, and shall not be used as, a platform for the transmission, storage, or processing of operational, clinical, financial, or regulated data.
All services described on the Website are provided exclusively pursuant to separate written agreements executed between the Company and its Clients.
Nothing contained on the Website shall constitute a binding offer, guarantee, or commitment of service performance.
2. USER ELIGIBILITY AND AUTHORITY
You represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into these Terms, including on behalf of any organization you represent.
3. NO MEDICAL, CLINICAL, OR PROFESSIONAL SERVICES
The Company provides technology, infrastructure, and administrative support services only.
The Website does not provide medical advice, clinical services, healthcare decision-making support, or professional advisory services.
Use of the Website does not create any provider–patient, fiduciary, or advisory relationship.
4. HIPAA AND PROTECTED HEALTH INFORMATION (PHI)
The Website is not intended to collect, receive, store, transmit, or process Protected Health Information (“PHI”).
Users are strictly prohibited from submitting PHI through the Website.
The Company may, in the course of providing services, access or process PHI within Client-controlled environments and solely pursuant to executed Business Associate Agreements (“BAAs”) and applicable law.
All PHI-related activities occur outside the Website environment within secured operational systems.
The Company disclaims all liability for PHI submitted through the Website in violation of these Terms.
5. CYBERSECURITY AND SYSTEM LIMITATIONS
The Company provides cybersecurity, infrastructure, and IT-related services; however, Users expressly acknowledge that no system, network, or environment can be rendered completely secure.
The Company does not guarantee, represent, or warrant that:
- (a) any system will be free from vulnerabilities, threats, or unauthorized access;
- (b) all cybersecurity incidents, breaches, or disruptions can be prevented;
- (c) any security measures implemented will eliminate risk; or
- (d) continuous, uninterrupted, or error-free operation will be achieved.
Cybersecurity is inherently probabilistic and subject to evolving threats, and all services are provided on a commercially reasonable efforts basis unless otherwise expressly agreed in writing.
6. NO RELIANCE
All information provided on the Website is for general informational purposes only.
Users agree that they shall not rely on Website content as a substitute for:
- formal agreements;
- technical assessments;
- security evaluations;
- or professional consultation.
The Company disclaims all liability arising from reliance on Website content.
7. CLIENT RESPONSIBILITY AND SHARED SECURITY MODEL
7.1 Users acknowledge and agree that all services provided by the Company operate under a shared responsibility model, whereby security, system integrity, and regulatory compliance obligations are divided between the Company and the Client.
7.2 The Company is responsible solely for those security measures, controls, and services expressly defined within executed agreements.
7.3 The Client retains sole responsibility for:
- (a) the configuration, operation, and security of its own systems, networks, and environments;
- (b) user access management, credential security, and internal controls;
- (c) data classification, handling, and protection within its environment;
- (d) compliance with applicable laws, regulations, and industry requirements; and
- (e) actions or omissions of its personnel, agents, or third-party vendors.
7.4 The Company shall not be liable for any security incident, breach, or failure arising from factors outside its direct control, including but not limited to client-side misconfiguration, inadequate internal controls, or third-party system vulnerabilities.
8. USER SUBMISSIONS AND LICENSE
Any information submitted through the Website shall be deemed non-confidential and provided at the User’s own risk.
By submitting information, you grant the Company a non-exclusive, worldwide, royalty-free license to use such information for legitimate business purposes.
Users shall not submit:
- PHI;
- system credentials;
- access keys or security-sensitive data;
- confidential or regulated information.
9. ACCEPTABLE USE
Users shall not:
- attempt unauthorized access to systems;
- probe, scan, or test vulnerabilities;
- introduce malicious code;
- interfere with Website operations;
- misuse communication channels.
10. INTELLECTUAL PROPERTY
All Website content, systems, and methodologies are the exclusive property of the Company and may not be used without authorization.
11. THIRD-PARTY SYSTEMS
The Website may rely on third-party systems and infrastructure.
The Company disclaims liability for failures or limitations arising from such systems.
12. DATA PROTECTION AND PRIVACY

Total liability shall not exceed USD $100.

The Company may suspend or terminate access at any time without notice.
17. FORCE MAJEURE

20. SURVIVAL AND ASSIGNMENT
